Terms of Service

These terms govern your use of northcorelabs.io and our text messaging program. The SMS program terms are in Section 4.

1. Acceptance

By accessing northcorelabs.io, submitting a form, or opting into our text messaging program, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the site.

You must be at least 18 years old and, where you act for a business, authorized to act on that business's behalf.

2. Use of the site

You may use this site for lawful purposes only. You agree not to:

• Submit false, misleading or someone else's information — including a phone number you are not authorized to provide;
• Attempt to gain unauthorized access to our systems;
• Scrape, harvest or bulk-collect content or data from the site;
• Interfere with the site's operation or security;
• Use the site to send unsolicited communications.

3. Forms, demos and requests

When you submit a form, you are asking us to contact you about your inquiry. Submitting a form does not create a contract for services, and does not guarantee that we will offer you services or a specific outcome.

Resources we offer — assessments, guides, walkthroughs and similar materials — are provided for general informational purposes. They are not legal, medical, tax, accounting or financial advice, and they do not account for your specific circumstances. Any figures, benchmarks or projections in them are illustrative, are based on general assumptions, and are not a promise or guarantee of any result.

4. SMS text messaging program terms

4.1 Two separate consents

We operate two independent messaging consents, each collected on its own separate, unchecked checkbox:

• Conversational / informational messages — replies to your request, delivery of a resource you asked for, scheduling and confirmation of a demo, meeting reminders, and follow-up about the inquiry you submitted.
• Marketing / promotional messages — recurring automated marketing texts, including offers, product updates, case studies, events and periodic re-engagement.

Checking one box does not opt you into the other. Each consent sends its own separate confirmation message.

4.2 Consent is never required

Neither checkbox is required to submit any form on this site. Our forms submit successfully with both boxes left unchecked, and any resource you requested is delivered by email regardless. Consent to receive automated marketing text messages is not a condition of purchase, of receiving a resource, or of any other transaction with us.

4.3 What you agree to when you opt in

By checking a messaging consent box, you agree that NorthCore Labs may send text messages of that type to the mobile number you provided, including messages sent using an automatic telephone dialing system. You confirm that the number is yours, or that you are authorized to consent for it, and you agree to tell us if the number changes or is reassigned.

4.4 Opting out

Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT, OPTOUT or REVOKE to any message to stop receiving messages. We will send one confirmation that you have been unsubscribed, and then stop. You may also revoke consent by any other reasonable method — replying in your own words, emailing us, or telling us on a call — and we will honor it. Reply START to resubscribe.

4.6 Carriers and delivery

Message and data rates may apply and are set by your mobile carrier, not by us. Delivery is subject to your carrier's network and is not guaranteed. Carriers are not liable for delayed or undelivered messages. Supported carriers may change without notice.

4.7 Privacy

No mobile information (including your phone number and SMS opt-in consent) will be shared with third parties or affiliates for marketing or promotional purposes. We do not sell your phone number, and we never share opt-in data or consent with third parties or lead generators. See our Privacy Policy.

5. Calls and recording

If you provide a phone number and consent to be contacted, we may call you, including with an automated dialing system or an artificial, prerecorded or AI-generated voice. Calls may be monitored or recorded for quality, training and accuracy. Tell us at any time to stop recording or to stop calling, and we will.

6. Services and separate agreements

Our paid services are governed by a separate written agreement — a service agreement, statement of work, or order form — signed by both parties. Where that agreement conflicts with these terms, that agreement controls for the services it covers. Nothing on this website is an offer to contract, and pricing shown anywhere on the site is indicative and subject to a signed agreement.

7. Intellectual property

The site and its contents — text, graphics, logos, diagrams, software, and the NorthCore Labs and Mia names and marks — are owned by NorthCore Labs LLC or its licensors and are protected by intellectual property law. You may view and print pages for your own internal business evaluation. You may not copy, republish, resell, or create derivative works from the site without our written permission.

8. Third-party links and services

The site links to and relies on third-party services — including scheduling, messaging, hosting and analytics providers. We do not control them and are not responsible for their content, availability or practices. Your use of a third-party service is governed by that provider's terms.

9. Disclaimers

THE SITE AND ALL FREE MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the site will be uninterrupted, error-free or secure.

We make no guarantee of results. Any outcomes, metrics, timelines or examples described on this site reflect specific situations and are not a promise, projection or guarantee that you will achieve the same or any particular result. Results depend on factors outside our control, including your market, your offer, your staff and your own execution.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHCORE LABS LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO YOUR USE OF THE SITE — WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO YOUR USE OF THIS SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless NorthCore Labs LLC from any claim, loss, liability, cost or expense — including reasonable attorneys' fees — arising from your breach of these terms, your misuse of the site, or your submission of a phone number or other information you were not authorized to provide.

12. Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these terms or the site will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and you consent to their jurisdiction.

Nothing in this section limits any right you have under applicable consumer protection or telecommunications law, including your right to revoke consent to messages at any time.

13. Changes

We may update these terms. Changes take effect when posted, and the "Last updated" date at the top will change. Your continued use of the site after a change means you accept the updated terms.
